Terms & Conditions – Syzygy Systems Cybersecurity

- Attempt to interfere with or disrupt our systems or networks.
- Use our services for fraudulent, malicious, or illegal purposes.
- Share login credentials or access without authorization.
3. Client Responsibilities
To enable effective service delivery, you agree to:
- Provide accurate and complete information as requested.
- Maintain secure access to your systems and credentials.
- Notify us promptly of any security incidents or breaches.
- Follow recommended security practices and guidance provided.
4. Confidentiality
Both parties agree to maintain the confidentiality of all proprietary or sensitive information disclosed during the engagement. This includes, but is not limited to, technical details, business operations, and security data. Confidential information shall not be shared with third parties except as required by law or with prior consent.
5. Intellectual Property
All intellectual property rights in materials, methodologies, and tools used or developed by Syzygy Systems Cybersecurity remain the sole property of Syzygy Systems. Clients may use deliverables only for the agreed purpose and may not reproduce, distribute, or modify them without written permission.
6. Limitation of Liability
To the maximum extent permitted by law:
- We are not liable for indirect, incidental, or consequential damages arising from the use of our services.
- Our total liability for any claims related to services provided is limited to the amount paid by you for the specific service giving rise to the claim.
- We do not guarantee absolute protection against security threats, data loss, or breaches.
7. Warranties
Services are provided “as is” and “as available,” without any express or implied warranty, including but not limited to warranties of fitness for a particular purpose, accuracy, or uninterrupted service.
8. Payment and Fees
All fees for services will be specified in separate agreements or proposals. Payment terms, invoicing, and late fees will be as outlined in the relevant agreements.
9. Termination
Either party may terminate services or agreements according to the termination terms specified in the applicable statement of work. Upon termination, clients must return or destroy confidential materials and cease use of deliverables unless otherwise agreed.
10. Data Protection
We handle personal and client data in accordance with applicable U.S. privacy laws and the EU General Data Protection Regulation (GDPR). Our Privacy Policy provides details on how data is collected, used, and protected.
11. Governing Law
These Terms are governed by and construed under the laws of the state or country specified in the service agreement, without regard to conflicts of law principles. For EU clients, applicable GDPR regulations will also apply.
12. Dispute Resolution
- Parties will first attempt to resolve disputes through good faith negotiation.
- If unresolved, disputes may be submitted to binding arbitration or a court of competent jurisdiction, as agreed in the service agreement.
13. Modifications
We may update these Terms periodically. Updated Terms will be posted on our website with a revised “Effective Date.” Continued use of our services constitutes acceptance of the updated Terms.
